OWNER SANCTIONS

1. OWNER STATEMENTS OR BEHAVIORS THAT ARE: OFFENSIVE

DISCRIMINATORY, RACIST, SEXIST, HOMOPHOBIC, OR OTHERWISE,

DEMONSTRATE CLEAR ANTI-SOCIAL INTENT TO ANY HUMANS, WITH

THE EXCEPTIONS OF CRIMINALS, HATE GROUPS, LEADERS AND

THOSE WHO HAVE CLEARLY SHOW MALICE INTENT TO HUMANS,

WILL BE SUBJECT TO THE FOLLOWING:

A. AT CURRENT MARKET VALUES, THE SALE OF THEIR TEAM, WITH

A 2/3 APPROVAL BY THE OTHER TEAM OWNERS.

B. IMMEDIATE OWNERSHIP TRANSFER ORDERED BY THE BOARD

OF DIRECTORS OF THE NJBA.

Player sanctions: ALL, SERIOUSLY STUPID

BEHAVIORS, WILL RESULT IN, PERMANENT REMOVAL, VOID OF CONTRACTS, NO TEAMS OR LEAGUE INTERVENTIONS AND NO RE-ENSTATEMENTS.

OWNER SUPPORT AND PROSPERITY PROGRAMS

As a players, players health and prosperity league, and

because of the reduced number of regular season games, we feel

that, it is, critical, to provide additional revenue streams to guarantee

solvency, financial security and flexibility, to the owners. These

activities will take place in the arenas and be further developed, asap.

2. NJBA FLAG TACKLE BALL. mistakenly, called, football.

3. NJBA FOOTBALL. mistakenly, called, soccer.

OUR FANS AS BUSINESS OWNERS:

A. Business Owners only, THINK YOU'VE GOT QUADRUPLE TALENTS: Examples:

Author, singer, musician, artist. Martial artist, rapper, dancer, gymnast. Story teller

juggler, skater, ventriloquist. To be developed, after season opening. (sf)

B. Business Owner Kids, ages 9 to15: THINK YOU'VE GOT A CLUE: Must show

history of participation in 2, adult, leadership activities. Examples: Junior

Achievement, Scouts, JROTC, Leadership Training Programs, etc.

C. FAMI-LEADERS: Family leaders where every member, has his or her, own

separate, and different, small business. B to B or business to business, sales

and services, plus, shared advertising, are two of our primary focuses. Register, otsf.

Multi-business persons and families, are, of great interest to us and everyone.

D. NJBA Business Fans = Registered, business owner fans, and fans who start

businesses, according to our, regulations and those converting, to our, regs. otsf.

E. HANDLES CONTESTS: Our business owner fans, = in game videos and in person.

Dances, routines and showboats, but ALL COURT LEGAL. Videos and half time

entertainment.

F. OTSF = One time small fee. All businesses, most contests, plus registrations

have small fees, associated with them.

G. More on these contest and services later. They must all be approved by the team

owners and the logistics put in place, but my job is ti make it all happen.

PLEASE READ AND AGREE

You agree (a) to indemnify and hold harmless, the, NO JUMP

BASKETBALL ASSOCIATION, their affiliates and their respective

officers, directors, employees, advisors, and agents

(each, an "indemnified person") from and against any

and all losses, claims, damages and liabilities to

which any such indemnified person may become subject

arising out of or in connection with this Commitment

Letter, the Facilities, the use of the proceeds

thereof, the Transactions or any related transaction

or any claim, litigation, investigation or proceeding relating to any

of the foregoing regardless of whether any indemnified person is a

party there to, and to reimburse each indemnified person upon

demand for any reasonable or other expenses incurred in connection

with investigating or defending any of the foregoing, provided that the

foregoing indemnity will not, as to any indemnified person, apply to

losses, claims, damages, liabilities or related expenses to the extent

they are found by final, non-appealable judgment of a court to arise from the willful misconduct or gross negligence of such indemnified person, and (b) to reimburse the No Jump Basketball Association, NJBA and their affiliates on demand for all out-of-pocket expenses

(including due diligence expenses, syndication expenses, consultant's fees, and expenses, travel expenses and reasonable fees, charges and disbursements of counsel) incurred in connection with the League and any related documentation (including, without limitation,

this Commitment Letter or the administration, amendment, modification or waiver thereof. No indemnified person shall be liable for any indirect or consequential damages in connection with its

activities related to the League. [It is understood and agreed that, to the extent not precluded by a conflict of interest, the indemnified persons and you shall endeavor to work cooperatively with a view to minimizing the legal and other expenses associated with any defense and any potential settlement or judgement. To the extent reasonably practicable and not disadvantageous to any party, it is anticipated that a single counsel may be used. Settlement of any claim or litigation involving any material indemnified amount will require your approval, not to be unreasonably withheld.
